Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information as requested
• Grant necessary access to accounts, platforms, and systems required to perform services
• Review and provide timely feedback on deliverables
• Make payments according to agreed-upon terms
• Maintain confidentiality of any proprietary methodologies or strategies shared
• Comply with all applicable laws and platform policies

Intellectual Property

Our Intellectual Property

Unless otherwise stated in writing, Naurie retains ownership of all proprietary tools, methodologies, frameworks, and processes used to deliver services. This includes our strategies, templates, and internal systems.

Client Materials

You retain ownership of all materials, content, and assets you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering our services.

Deliverables

Upon full payment, ownership of custom deliverables (such as website designs, ad creative, and content created specifically for you) transfers to you, unless otherwise specified in your service agreement.

Payment Terms

• Payment terms will be outlined in your individual service agreement or proposal
• Invoices are typically due within 15 days of receipt unless otherwise agreed
• Late payments may result in service suspension or late fees as specified in your agreement
• All fees are non-refundable unless otherwise stated in your service agreement
• We reserve the right to adjust pricing with 30 days written notice for ongoing services

Results and Guarantees

While we are committed to delivering high-quality services and achieving the best possible results, digital marketing outcomes depend on many factors outside our control, including:

• Market conditions and competition
• Platform algorithm changes
• Your business operations and sales processes
• Economic factors

Unless explicitly stated in writing as part of a specific guarantee program, we do not guarantee specific results, rankings, leads, or revenue outcomes. Any projections or estimates provided are based on our experience and analysis but are not guarantees.

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our engagement. This includes business strategies, customer data, financial information, and any other information designated as confidential.

Confidentiality obligations do not apply to information that:

• Is or becomes publicly available through no fault of the receiving party
• Was known to the receiving party prior to disclosure
• Is independently developed by the receiving party
• Is required to be disclosed by law

Limitation of Liability

To the maximum extent permitted by law, Naurie shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers or personal information
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, or similar issues transmitted through our services
• Any errors or omissions in any content

Our total liability for any claims arising from or related to these Terms or our services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Naurie and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of another party
• Any content or materials you provide to us

Termination

Either party may terminate services as outlined in the applicable service agreement. Generally:

• Monthly retainer services may be terminated with 30 days written notice
• Project-based services are subject to their specific terms
• We reserve the right to terminate services immediately for non-payment or breach of these Terms

Upon termination, you remain responsible for any outstanding payments, and we will provide reasonable assistance in transitioning services or assets.

Website Use

By using our website, you agree not to:

• Use the site for any unlawful purpose
• Attempt to gain unauthorized access to any part of the site
• Interfere with or disrupt the site or servers
• Use automated systems to access the site without permission
• Collect or harvest any information from the site

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved in the courts of Charleston County, South Carolina.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

Severability
